Terms & Conditions – Dr. Martens Social Media Jadon Boot 10th Anniversary Competition July 2023 (the “Competition”).

a) NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. By participating in the Competition, you (i) agree to be bound by these Terms and Conditions, including all eligibility requirements, and (ii) agree to be bound by the decisions of the Promoter (as defined below), which are final and binding in all matters relating to the Competition.

b) Airwair International Ltd (registered company no. 03009359) whose registered office is at Cobbs Lane, Wollaston, Northamptonshire NN29 7SW (“the Promoter”) is the Promoter of the Competition.

c) Entrants must follow all the online instructions to be eligible to enter and win. To be eligible entrants must enter all required details, including their email address, onto the Jadon Boot 10th Anniversary Competition Form which can be located at http://www.amo.mn/dr-martens-presents-the-alternative-platform-talent-search. Entrants will be required to provide a link to their social media profiles including a musical performance on any publicly available social media platform, including but not limited to, TikTok, Instagram, YouTube, Vimeo and Facebook (the “Music Video”). Entry into the Competition is not conditional on providing a specific image or video and every entrant that complies with the instructions is eligible to enter. The relevant social media account must be public for the duration of the Competition so that the Promoter can access the relevant musical video performance.

d) Other than in a Tie Situation, as set out below in paragraph i), each Winner will be required to enter into a Talent Agreement and Confidentiality Agreement, as set out below in paragraph u) and v), providing each Winner with the opportunity to perform as an opening act before the Headliner at one of the Jadon Boot 10th Anniversary concerts which will take place in:

  • October in London, United Kingdom (“EMEA Concert”)
  • October in New York, the United States of America (“Americas Concert”)

(Each an “Event” and together the “Events”).

e) Entries will be judged by the Dr. Martens marketing team and a panel of music industry specialists (the “Panel”) based upon the following criteria (the “Criteria”): (1) creativity and originality, (2) quality and execution, (3) ability to show uncompromising self-expression and an aim to change the status-quo, and (4) overall impression. The act chosen to headline each Event (each a “Headliner”) will oversee the process to ensure that the Competition process is operated fairly and that all entries are assessed in accordance with the Criteria. After assessing the entries against the Criteria, the Panel and the Headliner will select a long list for each region (the “Long List”) comprising their chosen eight (8) entries in each region. The Panel and the Headliner will then review the entries on the Long List and select a shortlist for each region (the “Shortlist”) comprising their chosen top two (2) entries in each region. The Shortlist entrants will be required to provide the necessary videos and licences in line with paragraph f) below.
The Long List entrants agree to the Promoter storing their entry in the Competition and their personal details so that the Promoter may contact them in the future if other opportunities arise for the Long List entrant and the Promoter to work together.

f) The Shortlist entrants will be required to submit to the Promoter a video explaining why they should win the Competition and play alongside the Headliner at the Event (the “Promotional Video”). These videos will be shared via the Dr. Martens official global TikTok page on Monday 21st August 2023 and the entrants agree that they shall licence all necessary rights for the Promoter to use the videos for such a purpose and to promote the Competition and Event. Entrants grant the Promoter an unlimited, non-exclusive, assignable, sublicenseable, perpetual, worldwide licence to reproduce, display, perform, distribute, archive, edit, adapt, modify and otherwise use the Music Video. By submitting the Music Video, the Promoter gets an unlimited right to use the Music Video as digital and non-digital content. The Promoter’s permitted use includes, for example, the use of the Music Video on the Promoter’s website, in the Promoter’s stores, event activations, on marketing emails and internal communications, and on public billboards, posters and for postings on Dr. Martens global social media accounts. However, the Promoter shall have no obligation to use your Music Video. In the event that a Shortlist entrant does not provide such video or licence or fails to respond to the Promoter within three (3) days of receiving an email from the Promoter notifying the entrant that they made it to the Shortlist as set out in paragraph j) below, the Panel and Headliner may select a different entrant to replace them on the Shortlist. The Panel and Headliner’s decision on which entries comprise the Shortlist is final. The entrant whose Promotional Video receives the most combined “likes” and “comments” on the post of 12:00 BST on Friday 25th August 2023 in each region will be determined to be the winning entrant for that region (the “Winner”). The Promoter’s determination of the Winner using this method is final. Entrants agree that their Music Video may be shared on the official Dr. Martens Tik Tok account throughout the duration of the competition and those entrants who make it to the Shortlist agree that their Music Video and Promotional Video will be shared on the official Dr. Martens Tik Tok account. Entrants agree that Airwair may alter, edit or adapt their Music Video and, if applicable, their Promotional Video. Airwair warrants that they shall not use the Music Video and, if applicable, their Promotional Video in any way which is derogatory of or is likely to impugn the reputation of the entrant.

g) By entering the Competition, entrants agree that their Music Video and, if applicable, their Promotional Video may be used on Dr. Martens’ supported digital, and social media channels. The entrant shall be responsible for clearing all rights and obtaining all licences necessary in relation to the Music Video, Promotional Video and their performance at the Event (as relevant).

h) One (1) entry per person or band. Bands may not consist of the same individuals as any previous entrant. The Competition begins at the time it is announced on the Dr. Martens official TikTok page on Tuesday 11th July 2023. Entries will be accepted up until 23:59 BST on Tuesday 8th August 2023. Entrants are only eligible to win in the region within which they live. Entrants who live in the EMEA region will only be eligible to be a Winner performing at the EMEA Concert and entrants who live in the Americas region will only be eligible to be a Winner performing at the Americas Concert.

i) In the event that two entries on a Shortlist are tied for the most “likes” and “comments” when the Winner is determined (a “Tie Situation”), the Headliner shall select their favourite and that entrant shall be the Winner. j) Shortlist entrants will be contacted in accordance with paragraph m) below by no later than 18:00 BST on Wednesday 9th August 2023. By accepting a place on the Shortlist, entrants are granting permission to Airwair to use their name in connection with the Competition and Event and the promotion thereof.

k) Winners will be contacted in accordance with paragraph m) below by no later than 18:00 BST on Tuesday 29th August 2023. l) The Competition is open to those resident in the United Kingdom, Germany, France and the United States of America. Entrants must be aged 18+ to be eligible.

m) Shortlist entrants and Winners will be contacted via email. If an entrant fails to respond within three (3) calendar days then the entrant in the Shortlist with the next most “likes” and “comments” will be deemed the Winner. The deadline given in paragraph j) and k) may be extended in such circumstances. If no entrant on the Shortlist responds within the timeframe required, the Promoter reserves the right to contact entrants from the Long List to support the Headliner at the Events. The Promoter accepts no responsibility for incorrect or misspelt contact information submitted by an entrant. No liability is accepted for entries that cannot be counted for any technical reason.

n) Employees or agents of the Promoter, their family members, or anyone else connected with the Promoter may not enter the Competition.

o) The Promoter reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, this Competition with or without prior notice due to reasons outside of its control. The decision of the Promoter in all matters under its control is final and binding. The Competition will be governed by the law of England and Wales.

p) The Promoter is not responsible if the Competition cannot take place or if the prize cannot be awarded due to cancellations, delays or interruptions due to acts of war (declared or undeclared), natural disasters, weather, acts of terrorism, riot or civil disturbance, satellite or equipment failure, federal state or local government law, order or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within the Promoter’s control (each a “Force Majeure” event or occurrence).

q) Entry materials/data that have been tampered with or altered, or mass entries or entries, likes or comments generated by a script, macro or use of automated devices are void. The Promoter is not responsible for: (i) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by the Promoter on account of technical problems or traffic congestion on the internet or at any web site or any combination thereof; or (ii) any injury or damage to persons or property, including but not limited to death, which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Competition or receipt or use of the prize, except where such liability cannot be excluded by applicable law.

r) Behaviour which is intended to disrupt or undermine the legitimate operation of the Competition, or which is intended to annoy, abuse, threaten or harass any other person, or any failure to comply with these Terms and Conditions, may result in disqualification from the Competition, and Promoter reserves the right to seek damages and other remedies from any such person engaging in such behaviour to the fullest extent permitted by law. The Promoter reserves the right to: (i) permanently disqualify from the Competition any person it believes has intentionally violated these Terms and Conditions; and (ii) cancel, suspend and/or modify the Competition without any liability if any fraud, virus or other factor beyond the Promoter’s reasonable control impairs the administration, functioning or proper play of the Competition, as determined by Promoter in its sole discretion, and withdraw the online method of entry if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Competition), and to select a winner from among all eligible entries received prior to withdrawal. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.

s) The Competition is in no way sponsored, endorsed or administered by, or in association with, TikTok. Entrants are providing their information to the Promoter and not to TikTok and by participating in the Competition you agree to a complete release of TikTok from any claims.

t) Entrants’ details will be kept in accordance with the Promoter’s Privacy Policy, available at https://www.drmartens.com/uk/en_gb/privacy.

u) Each Winner will be required to enter into a talent agreement (a “Talent Agreement”) and a confidentiality agreement (a “Confidentiality Agreement”) with the Promoter relating to their performance at the relevant Event. The Talent Agreement and Confidentiality Agreement shall be on commercially fair and reasonable terms, negotiated in good faith and shall not be substantially dissimilar from the Promoter’s previous dealings with musical talent and artists of similar experience and standing to the Winner. Should, for whatever reason, the Winner fail to agree to a Talent Agreement or Confidentiality Agreement, the Headliner shall select another entrant on the Shortlist who will be requested to enter into a Talent Agreement and Confidentiality Agreement and perform at the Event instead. If no entrant on the Shortlist is willing to enter into a Talent Agreement and Confidentiality Agreement, this shall be considered a reason to discontinue the Competition in accordance with paragraph o) and the Promoter shall not be under any obligation to consider any other entrants.

v) The performance by the Winner at the Event may be photographed, recorded or filmed by the Promoter (the “Performance Product”). The Promoter may use the Performance Product on Dr. Martens’ supported digital, and social media channels. The Promoter shall own the Performance Product. The Winner shall agree to and sign an image release and waiver at the Promoter’s request.
